Last Friday, Brian Breheny, chief of the Office of Mergers and Acquisitions at the Securities and Exchange Commission's corporate finance division, was the guest speaker at a meeting of the Association of the Bar of the City of New York Special Committee on Mergers, Acquisitions and Corporate Control Contests. Broc Romanek has produced a handy summary of the topics Breheny covered and posted it on his invaluable DealLawyers.com blog. Subjects include cross-border, tender-offer rules and NASD proposed fairness opinion disclosure and policy/procedure rules. — Kenneth Klee
