ToolsApril2007.jpgTechnology tools replacing physical data rooms are being globalized. Information management and professional services firm BMC Group Inc. recently announced its internationalized multilanguage virtual data room, or VDR, capability. Initially, these VDRs will alow clients to configure the rooms with a Japanese-language interface and also, interestingly, using the Cyrillic alphabet, reflecting interest in Russia and other Eastern European countries.

VDRs allow for electronic sharing of documents so that buyers, sellers, and the bankers and lawyers advising them can collaborate on documents pre-deal. The virtual factor makes international dealmaking, in every level from due diligence to PMI, a lot easier. This cover story, "All About Deal Tools," highlights this and the broader scope of VDRs in the M&A world, including price, security, who's using them and more. - Baz Hiralal
