Bain Capital Partners LLC-Bright Horizons Family Solutions Inc.

Surprising as it is in the current environment, private equity firm Bain Capital Partners LLC unveiled a bona fide take-private this morning. The Boston-based firm said it would pay about $1.3 billion to buy out Bright Horizons Family Solutions Inc., the world's leading provider of employer-sponsored child care, early education and work/life solutions.

Terex Corp.-ASV Inc.
In U.S news Monday, mining equipment manufacturer Terex Corp. agreed to buy ASV Inc., a maker of rubber track loaders, for about $488 million. Westport, Conn.-based Terex said the addition of Grand Rapids, Mich.-based ASV will bring the target's compact truck loaders to its suite of equipment offerings.

NYSE Euronext-Wombat Financial Software
In other deal news, NYSE Euronext agreed to buy privately held market data management firm Wombat Financial Software for $200 million. The world's biggest stock exchange operator said Wombat would bridge its commercial technology and market data strategies and broaden its customer reach.

Blackboard Inc.-NTI Group Inc.
Another small deal featured educational software company Blackboard Inc. agreeing to buy NTI Group Inc., which specializes in mass-messaging technology, for as much as $199 million in cash and stock. Blackboard is making the purchase because more schools and educational bodies are using the Internet to instruct students, so mass communications are becoming more important as educational tools.There was also a software deal involving venture capital investors.

Menlo Ventures-NComputing
Desktop virtualization software maker NComputing plans to announce a $28 million Series B round from Menlo Ventures, Scale Venture Partners and South Korea's Daehong Technew Corp.

Dealtalk for Northwest Airlines Corp.?
And finally the CEO of Northwest Airlines Corp. in a memo to employees said the airline is open to the right deal. As the Delta Air Lines Inc. board met to discuss the matter, Doug Steenland sent a memo to employees Friday saying his board and management team would analyze any deal carefully. - Peter Moreira
