Shamrock wants changes at Panera

Panera_Bread_storefront.jpgShamrock Activist Value Fund LP has called for an array of corporate governance provisions at Richmond Heights, Mo.-based Panera Bread Co. Shamrock owns 4.67% of the bakery operator, which reports roughly $1.5 billion a year in sales. In a 13D filed late Monday, July 21, Shamrock called for the adoption of a majority voting standard to elect Panera's directors, and for elections to held annually. It also wants to convert Panera's Class B common stock, which have three votes each, into Class A common stock. - Michael Rudnick
