Hisamitsu Pharma bags rival Noven Pharma

Bidding to expand in the U.S., Japanese drugmaker Hisamitsu Pharmaceutical Co. said Tuesday it would spend $428 million to acquire Noven Pharmaceuticals Inc.

Terms of the deal call for Hisamitsu to pay $16.50 in cash for each Noven share, a premium of 22% over Noven's Monday close and a 43% premium to the target's average closing price over the past 90 days.
