 Mohamed Ali Vice President, Business Development & Strategy Information Management division IBM
Mohamed Ali is currently Vice President, Business Development & Strategy for IBM's Information Management division, where he oversees selection through integration of target companies, partner relationships and overall division strategy. His recent projects have included IBM's $5.0B acquisition of Cognos Incorporated, $1.6B acquisition of FileNet Corporation and $1.1B acquisition of Ascential Software. Mohamad also serves as the senior state executive for IBM's 5000 employees in Massachusetts.
Prior to this, Mohamad served as Vice President of IBM's EDA software business unit, managed IBM's Engineering & Technology Services (E&TS) hardware systems business unit and led strategy and business development for IBM's E&TS division. He has also served as Director of Corporate Development and Director of Strategic Investments where he was responsible for executing mergers & acquisitions transactions, and oversaw equity investments respectively. Mohamad spent six years with IBM's Microelectronics Division, in various capacities, including P&L management, sales & marketing and engineering.
Before joining IBM, Mohamad served as an executive at software startup Neural Applications Corporation. Prior to this, Mohamad contributed in an engineering capacity to several software companies, including Adobe Systems. Mohamad holds a BS/BA from Stanford University, as well as an MSEE from Stanford University.
Locally, Mohamad serves on several boards, including the Massachusetts Technology Leadership Council and Jobs for Massachusetts. He was also recently named to Boston Business Journal's 2008 "40 Under 40" list.
Elizabeth A. Fealy Principal Hewitt Associates LLC
Liz is a principal with Hewitt Associates LLC and leads its Corporate Transaction business globally and in North America. She has also has served as the Talent and Organizational Change Northeast Market Lead where she was responsible for understanding and responding to clients' needs in the Talent and Organizational Change arena. Liz is an employment and labor lawyer by background. Liz has served as M&A project lead/manager through the due diligence, implementation planning, and implementation phases of a transaction. Liz's M&A clients include IBM, Citigroup, MetLife, LeggMason, Deutsche Bank, Verizon, United Airlines, United Parcel Service, Tyco International and General Electric Corporation.
Liz has done a significant amount of M&A work globally and is very familiar with global employment laws as it applies to labor relations, terms and conditions of employment and restructurings. She served as the HR Project Manager with Citi HR for Citigroup's $12 billion dollar acquisition of Banamex in Mexico as well as its $6 billion acquisition of Sears Credit & Financial Products in the U.S and Puerto Rico. She has also been the project manager for MetLife International's acquisition of the Citi Insurance business in 9 countries as well as the project manager for Legg Mason's acquisition of Citi Asset Management in 15 countries across Europe, Latin America, and Asia. She regularly supports UPS in its global acquisitions including a recent acquisition in 35 countries as well as supporting Tyco International on the spin-off of certain businesses worldwide.
Prior to joining Hewitt Associates, Liz practiced employment and labor law with the firm of Paul, Hastings, Janofsky & Walker, LLP in New York City where she represented and counseled management on employment matters, litigation prevention measures, and compliance with federal, state, and local employment laws.
Liz earned a B.S. degree in Industrial and Labor Relations from Cornell University and a J.D. from the University of Pennsylvania. She is admitted to the bars of New York and the District of Columbia and has practiced before the United States District Court for the Southern and Eastern Districts of New York and the New York State Court of Appeals and New York's other appellate and trial courts. Elizabeth is a member of the Society for Human Resource Management, the American Bar Association, and the New York State and New York City Bar Associations.
David O. Kompare Principal Hewitt Associates LLC
David is a principal of Hewitt Associates and a leader of Hewitt's Corporate Transactions and Transformation group. Based at Hewitt's headquarters in Lincolnshire, Illinois, he consults on a range of corporate restructuring and executive compensation activities, specializing in project coordination for complex merger transactions. David's work includes extensive experience with alignment of pay systems, employment contracts, HR policies, industrial relations, performance-based and equity incentives, and workforce restructurings.
With experience working in Belgium, Germany, the United Kingdom, and the United States, David assists clients with global corporate restructurings and acquisitions, including coordinating multi-country due diligence and program development. This assistance includes advising clients on information and consultation with works councils, transfer of undertaking obligations, and the integration of compensation and benefits programs.
David advises both Boards and management teams with respect to executive compensation programs. His experience includes drafting and structuring executive employment arrangements, including market level and technical analysis. This experience includes analysis of market level pay data across base pay, annual and long-term incentive arrangements. David also provides technical support in areas related to golden parachute excise tax considerations, restructuring of executive contracts in acquisitions, and related consulting or transitional services agreements.
Recent clients David has worked with include Abbott Laboratories, DaimlerChrysler AG, Dell Inc., General Electric Company, Honeywell International, Inc., Metropolitan Life Insurance, Royal Philips Electronics N.V., Suez Lyonnaise des Eaux, Textron, Inc., Unilever plc. and Wal-Mart Stores, Inc. His Board advisory experience includes Chiron, Textron and Qantas Airways.
David is a transactional attorney licensed to practice law in the United States and, before joining Hewitt Associates, he practiced corporate and securities law. David's legal practice was largely focused on assisting clients with legal and regulatory issues in corporate restructurings. David received a Bachelor of Arts degree in Economics and History from Northwestern University and a Juris Doctor degree from Loyola University.
