Overview:

Corporations and financial sponsors looking to exit their holdings are seeing a steady path through not only divestitures, but more recently the renewed life in the IPO market.

Private equity and venture-backed companies are marching to the IPO market. With the demand for IPOs reviving, learning how to successfully get companies ready for market is essential. The number of new public issues launched thus far in 2009 is nearly double the 2008 quota. Clearly private equity firms are on the hunt for liquidity; however, other sources for IPO flow have been foreign companies. Recent IPO activity supporting this capital markets trend are Blackstone Group's recent announcement to float several portfolio companies, Welsh Carson Anderson & Stowe's AGA Medical, Berkshire Hathaway and White Mountain Insurance's Symetra Financial and China based Shanda Interactive's spin-off of Shanda Games Ltd.

Nathaniel E. Baker leads The Deal LLC's coverage of middle market transactions.

Before joining The Deal, Baker was managing editor at Institutional Investor's Alternative Investment News, where he reported on hedge funds and private equity. While at Institutional Investor, Baker was also a contributor to Alpha Magazine and covered compliance and investment management for the Compliance Reporter newsletter. He began his career in journalism freelancing at several general business publications.

Baker earned a bachelors degree in international studies and French at Goucher College in Baltimore, Maryland

Julie Jones is a partner in the Corporate Department at Ropes & Gray LLP and head of the firm's Federal Securities & Public Companies practice. Julie focuses on representing public companies, investment banks and private equity funds in mergers and acquisitions, public offerings and 144A financings. She also counsels clients on a wide range of securities law compliance and governance issues. Her clients include Bain Capital, Goldman & Sachs & Co., Hanover Insurance Group, Hasbro, Kohlberg & Co., LPL Holdings, Silver Lake Partners, SunGard Data Systems and Wellesley College. Mr. Sendlenski is a Vice President in the Boston office of Trenwith Securities, LLC. Mr. Sendlenski has more than a decade of investment banking experience with a particular focus on advising corporations on mergers and acquisitions, leveraged recapitalizations and ESOP transactions as well as raising debt and equity capital for growth-related institutions. In addition to maintaining relationships with hundreds of middle-market private equity firms, Mr. Sendlenski has been invited to participate on leveraged recapitalization panels to discuss financing, the deal process, negotiating employment agreements and how entrepreneurs can effectively work with private equity firms.

Prior to joining Trenwith Securities, Mr. Sendlenski worked in the technology investment banking group of Alex. Brown and Deutsche Bank Securities. During his time at Deutsche Bank, Mr. Sendlenski worked on public and private capital raises and merger and acquisition transactions for clients such as Accenture, Lucent, NEC and Adtran.

In 2006, Mr. Sendlenski was selected as one of the Top 40 Investment Bankers Under Age 40 by Investment Dealers Digest. Mr. Sendlenski holds a Bachelor of Arts degree from Williams College where he was an economics major. He is qualified as a General Securities Representative.

Robert H. McCooey, Jr. is the Senior Vice President of New Listings and the Capital Markets Group. In this role, Mr. McCooey manages NASDAQ's listings efforts both domestically and in the Americas and Asia Pacific region as well as leads the Capital Markets Group. Formed in 2006, the Capital Markets Group is primarily responsible for private equity, investment bank and other Wall Street constituent outreach and works to further NASDAQ OMX's mission to support their business goals and growth plans. Mr. McCooey joined NASDAQ in December 2006.

Prior to joining The Nasdaq Stock Market, Inc., Mr. McCooey served as the Chief Executive Officer of The Griswold Company, an agency he founded in 1988 which served prominent and developing buy-side institutions. He also served on the New York Stock Exchange Board of Executives from 2003 - 2006 and was a New York Stock Exchange Floor Official for eight terms. Mr. McCooey served on the NYSE's Group Market Performance Committee and was chairman of the NYSE's Technology and Planning Oversight Committee. In addition, he served on the Board of the NYSE Foundation, which he joined in 2003; the board of the Securities Industry Automation Corporation (SIAC), the technology subsidiary of the New York Stock Exchange and the American Stock Exchange; and on the Committee for Review, part of NYSE Regulation.

Mr. McCooey has been a regular guest on CNBC and has often been quoted in national news publications regarding stock market activity. He is a director of Iona Preparatory School, as well as St. Vincent's Hospital in Westchester, NY. Mr. McCooey attended the College of Holy Cross and resides in Rye, NY.
