Drinks With The Deal: Moelis' Lee on Special Committee Work, Building a Career

Managing director Dan Lee discusses his work advising special committees on conflicted transactions and building a career experience by experience.

“A career is just a collection of experiences,” said Dan Lee, a managing director at Moelis & Co. LLC (MC), on this week’s Drinks With The Deal podcast. “Try to gather up as much experience as you can, because that’s the only way you’re going to learn. That’s how you build a career. Especially when you’re younger, there are a lot of times when you feel nervous or that you don’t know what you’re doing. If you’re never out of your comfort zone, you’re not learning.”

Los Angeles-based Lee also talked about how he developed a specialty in advising special committees of boards in conflicted transactions. In one prominent assignment, he counseled a special committee of the board of Oracle Corp. (ORCL) when the Austin, Texas-based software company bought NetSuite Inc. for $9.3 billion in cash in 2016. Oracle stockholders sued to challenge the conduct of the company’s board on the deal, but earlier this year, the Delaware Supreme Court upheld a lower court dismissal of the litigation.

Stockholders often challenge conflicted transactions, and Lee was deposed in the case, an experience he’s had numerous times in his career.

“I don’t enjoy the depositions,” he said, “but the questioning gives me a window into how plaintiff’s lawyers are thinking about the situation. I have respect for what the plaintiff’s lawyers are doing. I think boards are better because plaintiff’s lawyers are out there.”
