
AEA Investors LP turned to Fried, Frank, Harris, Shriver & Jacobson LLP for counsel on an agreement to sell Spectrum Control Inc. to Greenbriar Equity Group LP announced on Tuesday, Sept. 29.
The Deal reported last week that AEA was nearing a sale of Spectrum.
The private equity sponsors didn’t disclose the value of the deal for Spectrum, a Fairview, Pa.-based manufacturer of radio frequency, microwave, microelectronic, electromagnetic and power management components and systems, but Bloomberg placed it at $1.8 billion in an article before announcement of the transaction.
Evercore Inc. and William Blair & Co. LLC gave financial advice to Spectrum Control and AEA, a New York-based middle market PE firm, where partner Vinay Kumar was on the investment.
AEA bought Spectrum from J.F. Lehman & Co. in a May 2019 deal valued by With Intelligence at between $250 million and $499 million. Evercore provided sell-side advice to J.F. Lehman, while Fried Frank advised regular firm client AEA.
Kirkland & Ellis LLP was counsel to Greenbriar, which is based in Greenwich, Conn. Managing director Noah Blitzer was on the investment at the sponsor.
Kirkland’s Shawn OHargan, Aidan S. Murphy and Madisson G. Goorman worked with the sponsor on its purchase of eShipping LLC, a provider of managed transportation and logistics services, from Ridgemont Equity Partners for undisclosed terms in January.
The law firm’s Ross M. Leff, Christie Mok and Aaron Z. Simons advised Greenbriar portfolio company Applied Aerospace & Defense Inc. (AADX) on its IPO in June.
The sponsors expect to close the deal by the first quarter of 2027, pending regulatory approvals.
