GHK Capital completes the acquisition of the provider of residential and commercial services, which The Deal in May said was on the block.

GHK Capital Partners LP on Thursday, Oct. 15, said it’s completed the acquisition of USA Hometown Experts Inc., a Southeastern U.S. provider of residential and commercial services.

GHL didn’t disclose the financial terms of the transaction.

The Deal in May reported that MSouth Equity Partners LP had retained advisers to run an auction for USA Hometown, which generates between $30 million and $40 million in Ebitda.

Memphis-based USA Hometown provides heating, ventilation and air conditioning; plumbing; electrical; and other essential services through eight brands across the Southeast.

GHK said it plans to support USA Hometown’s expansion into new markets, addition of new trades and pursuit of acquisitions in the fragmented residential and commercial services sector.

USA Hometown Experts CEO Bill Sublette will continue to lead the company. Sublette in the statement said GHK’s experience in facility services and track record of building value would support the company’s next phase of growth.

Greenwich, Conn.-based GHK focuses on North American industrial middle market companies. Founded in 2018 by Gilbert H. Klemann, it typically invests $100 million to more than $300 million in equity per transaction across sectors such as manufacturing, logistics and automotive.

In October 2024, the PE firm closed its second fund, GHK Fund II, securing $870 million in capital commitments, significantly exceeding its $650 million target.

Atlanta-based MSouth makes equity investments of $25 million to $100 million in lower middle market companies typically valued at $25 million to $250 million, with Ebitda between $5 million and $30 million, in the business services, healthcare services, niche manufacturing and specialty distribution sectors.

GHK looked to Piper Sandler Cos. and Angle Advisors LLC for financial advice and Christopher R. Machera, Thomas V. de la Bastide III, David S. Hong and Lindsay B. Parks of Paul, Weiss, Rifkind, Wharton & Garrison LLP and Weil, Gotshal & Manges LLP for counsel. Klemann worked on the acquisition in-house.

USA Hometown tapped Citizens JMP Securities LLC and Stephens Inc. for financial advice and Jeremy S. Corcoran of DLA Piper for counsel.
