PPC-Backed C.H. Guenther Acquires Family-Owned House-Autry

C.H. Guenther buys House-Autry after The Deal reported it was exploring a sale, adding custom dry mixes and Southern flavor.

Pritzker Private Capital portfolio holding C.H. Guenther & Son LLC on Wednesday, Sept. 16, said it’s acquired House-Autry Mills Inc., a family-owned branded and custom dry mix flavor maker, after The Deal reported earlier this year that House-Autry was weighing a sale.

San Antonio-based C.H. Guenther didn’t disclose financial terms, though The Deal reported in February that Four Oaks, N.C.-based House-Autry generates roughly $10 million in Ebitda. The Deal added that larger extracts, essences, spices and seasonings transactions have reached low-double-digit Ebitda multiples.

The Deal reported that House-Autry was exploring strategic options, including a potential sale, and had held discussions with prospective advisers.

Founded in 1812, House-Autry makes branded products, custom dry mixes, breaders, batters, coatings, blends and seasonings for foodservice operators, private-label partners and retail customers. The company operates manufacturing facilities in Four Oaks and Hogansville, Ga.

House-Autry has invested in blending, packaging and research and development capabilities to support custom formulations and flavor development. The company’s products are focused on Southern cooking and are used by foodservice, retail and private-label customers looking to create differentiated menu items and branded products.

C.H. Guenther said the acquisition expands its reach in priority markets and deepens its position in Southern-flavored ingredients by pairing its scale, manufacturing network and logistics infrastructure with House-Autry’s custom dry mix and flavor development capabilities. The company also added that the combination broadens its portfolio while supporting customer innovation, menu differentiation and long-term growth.

Founded more than 175 years ago, CHG is a commercial baking and food manufacturing company supplying grain-based and frozen food products. The company operates 30 manufacturing facilities across the U.S., Canada and Western Europe and employs more than 5,000 people.

In 2018, PPC Partners, also known as Pritzker Private Capital, acquired C.H. Guenther in partnership with co-investors and management for an undisclosed sum.

Chicago-based PPC Partners is an investment firm owned by members of the Pritzker family that invests in family- and founder-owned companies in the manufactured products and services sectors. It targets businesses with an enterprise value of $200 million to $1.5 billion.

Last August, the firm closed its PPC IV fund with $3.4 billion in commitments, exceeding its $3 billion target and significantly surpassing the $2.7 billion raised for its predecessor fund, PPC III, in 2021.

Westerra Capital LLC was House-Autry’s investment bank.
