Veritas Takes Controlling Stake in Oak Hill's Trinity Consultants

Veritas Capital Fund Management LLC on Wednesday, Aug. 5, said it’s acquired Trinity Consultants Inc., a provider of engineering and consulting services to the natural and build environment, from Oak Hill Capital Partners LP.
Veritas didn’t disclose the terms of the transaction but said Trinity’s management team and broader employee base will continue to hold a meaningful ownership stake. Veritas said it’ll partner with Trinity present and CEO Paul Greywall, who will continue to lead the business through its next phase of growth.
The Deal reported in May that Oak Hill was exploring the sale of Trinity Consultants with Harris Williams LLC. The Deal said Dallas-based Trinity generates around $175 million of Ebitda and could fetch around $3.3 billion, or a 19 times multiple.
Founded in 1974, Trinity is a consulting firm that provides services in the environmental, health and safety regulatory compliance, built environment, life sciences and water and ecology markets.
Its clients span the commercial, institutional, energy, utilities, education, healthcare, transportation, manufacturing, industrial and manufacturing sectors, and the company has offices across the U.S. and in Canada, Europe, Asia and Australia. Trinity has acquired more than 40 companies since 2008.
Oak Hill acquired Trinity in June 2021 from Levine Leichtman Capital Partners LLC. Oak Hill invested in the company through its $3.8 billion Oak Hill Capital Partners V fund.
New York-based Oak Hill focuses on the North American middle market, investing across the media and communications, industrials, services, and consumer sectors. It closed Oak Hill Capital Partners VI in 2022 with $3.5 billion in commitments and seeks $3.75 billion for its successor.
New York-based Veritas invests in aerospace and defense, healthcare, education, sustainability and infrastructure and financial technology companies. The firm has completed more than 250 investments, according to its website and in February closed its ninth flagship fund with $15.3 billion in commitments.
The company acquired BGIS Global Integrated Solutions Canada LP, a provider of technical integrated facilities management services, from CCMP Capital Advisors LP and Alberta Investment Management Corp. in July. Veritas’ Wood Mackenzie Ltd. added on LandGate Corp., a provider of energy and infrastructure data and analytics, in June.
Veritas expects the transaction to close by the fourth quarter of 2026.
Trinity and Oak Hill tapped Harris Williams, JPMorgan Securities LLC, AEC Advisors LLC and Robert W. Baird & Co. for financial advice and Brian C. Lavin, Erika A. Detjen and Trinidad Reyes of Paul, Weiss, Rifkind, Wharton & Garrison LLP for counsel. Greywall and Oak Hill partner John P. Rachwalski were on the sale in-house.
Veritas looked to a Gibson, Dunn & Crutcher LLP team led by John M. Pollack and Christopher R. Harding for counsel. Veritas partner and co-head of flagship private equity Daniel Sugar worked internally on the transaction.
