Deal Diary: Kirkland, Sullivan Guide Nordic Sale of ArisGlobal to Dassault

Dassault Systemes uses Sullivan & Cromwell on an up to $2 billion acquisition of ArisGlobal from Nordic Capital, which turns to Kirkland and Evercore.

Nordic Capital Ltd. turned to Constantine N. Skarvelis, Aidan S. Murphy and Siqi Li of Kirkland & Ellis LLP for counsel on an agreement to sell ArisGlobal LLC to Dassault Systemes SA for $1.8 billion in cash and an earnout of up to $200 million in a deal announced on Thursday, July 23.

Evercore Inc. gave financial advice to the seller.

The Deal reported in October that Stockholm-headquartered Nordic had retained Evercore to advise on a sale for ArisGlobal, a Waltham, Mass.-based healthcare technology platform. The firm reportedly marketed ArisGlobal on Ebitda of roughly $70 million to $80 million.

Nordic invested in ArisGlobal in June 2019 via its ninth fund, which raised $5.6 billion, at a reported valuation of $700 million, including debt. ArisGlobal’s founders, led by then-chairman Deepak Abbhi, retained a minority stake following the 2019 investment. Kirkland’s Armand A. Della Monica and Skarvelis advised Nordic on the 2019 investment.

The Swedish firm picked up an additional stake in the company from the founding Abbhi family in 2021 and is also invested in the business through its 10th fund, which raised €6.1 billion ($7 billion), according to its website.

ArisGlobal in February 2023 added Novo Mesto, Slovenia-based Amplexor Life Sciences, a provider of regulatory, quality and safety software services serving pharmaceutical, biotechnology and medical device companies. In May 2023, it acquired Dublin-based pharmaceutical data management company Sporify to integrate its application into its LifeSphere platform.

Arnaud Berdou and Mimi Wu of Sullivan & Cromwell LLP were counsel to Dassault. Julian Hudson at Rothschild & Co and Pierre Hudry at Valens Partners SAS gave financial advice to the buyer, a software company based in Velizy-Villacoublay, France, where senior M&A legal counsel Myriam El Ouarrari is on the deal.

The ArisGlobal deal would be Dassault’s largest since its 2019 purchase of Medidata Solutions Inc. for $5.8 billion.
